1. Nature of the Service (No Advisory Relationship)

The Service provides software-based automation tools, technical integrations, and educational information that allow users to automate trade execution through third-party brokers or platforms.

The Company does not:

• Act as an investment advisor, portfolio manager, or fiduciary

• Provide personalized investment advice

• Execute trades on behalf of users as a discretionary manager

• Hold, control, or custody user funds

All trading activity occurs solely within the user’s own account, under the user’s authority.

2. No Investment Advice or Solicitation

Nothing provided through the Service constitutes:

• Investment advice under Canadian securities laws

• Advice under the U.S. Investment Advisers Act of 1940

• A “personal recommendation” under EU MiFID II

All content is provided for general informational and educational purposes only.

You are solely responsible for determining whether any trading strategy or automated system is appropriate for your circumstances.

3. Risk Disclosure

Trading financial instruments (including but not limited to foreign exchange, derivatives, indices, and digital assets) involves substantial risk, including the potential loss of all invested capital.

You acknowledge and agree that:

• Past performance does not guarantee future results

• Market volatility, liquidity conditions, slippage, and latency can impact outcomes

• Automated systems do not eliminate risk

You assume full responsibility for all trading decisions and outcomes.

4. User Responsibilities

You agree to:

• Use the Service at your own risk

• Ensure compliance with all applicable local, national, and international laws

• Monitor your trading account and system activity

• Configure risk settings responsibly

The Company is not responsible for losses arising from user misconfiguration, failure to monitor activity, or misuse of the Service.

5. Third-Party Brokers & Platforms

The Service integrates with third-party brokers, exchanges, APIs, and platforms.

The Company is not responsible for:

• Broker execution quality

• Platform outages or downtime

• API failures or data delays

• Regulatory restrictions imposed by third parties

Your relationship with any broker or platform is independent of the Company.

6. No Guarantees or Warranties

The Service is provided “as is” and “as available.”

The Company makes no representations or warranties regarding:

• Profitability or performance

• Accuracy or completeness of data

• Frequency or consistency of trades

All implied warranties are disclaimed to the maximum extent permitted by law.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Company shall not be liable for indirect, incidental, consequential, or punitive damages

• Total liability shall not exceed the fees paid by the user in the 30 days preceding the claim

This limitation applies in Canada, the United States, and the European Union, subject to mandatory consumer protection laws.

8. Indemnification

You agree to indemnify and hold harmless the Company, its directors, officers, employees, contractors, and affiliates from any claims or liabilities arising from:

• Your use of the Service

• Your trading activity

• Violation of these Terms or applicable laws

9. Intellectual Property

All software, algorithms, documentation, branding, and content are the exclusive property of the Company.

You may not:

• Copy, modify, or reverse engineer the Service

• Resell or sublicense access

• Use the Service for unlawful or unauthorized purposes

10. Termination

The Company may suspend or terminate access to the Service at any time for violation of these Terms, misuse, or regulatory risk, with or without notice.

11. Governing Law & Jurisdiction

These Terms shall be governed by the laws of Canada, without regard to conflict of law principles.

Nothing in these Terms limits consumer rights under mandatory local laws in Canada, the United States, or the European Union.

12. Amendments

The Company may modify these Terms at any time. Continued use of the Service constitutes acceptance of the revised Terms.
